Terms and Conditions

Last updated: October 2026

1. Scope

These terms apply to all contracts between Tavo-IT, owner Michael Schwarz, Vorderdorfstraße 13, 37130 Gleichen OT Groß Lengden, Germany (“provider”), and its customers via the online shop at thalvos.cloud – in particular licenses (digital content), hosting services and IT services.

2. Conclusion of contract

Product presentations in the online shop are not a binding offer but an invitation to order. By submitting an order, the customer makes a binding offer. The contract is concluded upon order confirmation or provision of the service.

3. Customer account

When you place an order, a customer account is created for you. It serves to perform the contract: order overview, invoices, licence keys and, for hosting services, the management of the services.

You will receive an email with a link that lets you set a password yourself. Until you do so, the account remains unused.

You may request deletion of your customer account at any time in text form, for example by email to info@thalvos.cloud. We will then delete the account without delay. This does not affect the retention of invoices and other accounting records: under § 147 of the German Fiscal Code (AO) these must be kept for ten years and are stored until that period expires – even if the account has already been deleted.

4. Services

Depending on the order, the provider supplies license keys (digital content), hosting services (e.g. web hosting, vServer, managed Kubernetes) and IT services / support packages. The specific scope results from the product description and the order.

5. Prices and taxes

All prices are in euros. Licence prices are shown as net prices; statutory VAT is added to the net amount at checkout and shown separately there. Prices for hosting services and IT services are shown as gross prices including statutory VAT. Which of the two price formats applies to a product follows from the respective product or package page and from the order summary at checkout.

For business customers with a valid VAT identification number, VAT is not charged (reverse charge). The VAT identification number is requested and verified at checkout; without a valid number, VAT is calculated as for private customers.

6. Payment methods

Payment is made using the methods offered at checkout. Currently available are payment by card and by SEPA direct debit via the payment service provider Stripe, as well as payment in advance by bank transfer on the basis of a proforma invoice. Which payment methods are offered in an individual case depends on the customer’s country and the selected currency and is displayed at checkout. For subscriptions, the amount is due at the start of each billing period.

7. SEPA direct debit

For payment by SEPA direct debit on first orders, we collect the amount first and deliver only after payment has been received. Payment is received after the period stated at checkout, usually 1 to 3 business days. The service is provided only after that.

Background: a SEPA direct debit can be recalled by the payer within eight weeks of the debit. Until that period has expired, receipt of payment is not secured.

8. Delivery

The licences, hosting services and IT services offered in the shop are digital services. Licence keys and access data are sent by email to the address given during the order after payment is received and are additionally provided in the customer account where one exists. No shipping costs are charged for these services; delivery times within the meaning of mail order do not arise.

Should physical delivery be offered in future, shipping costs and delivery time will be shown at checkout before the order is completed.

9. Digital content / license keys

License keys are generated after payment is received and sent by email. The customer must keep keys confidential. Resale or transfer to third parties is only permitted if the manufacturer allows it.

10. Terms, billing and cancellation

Hosting, vServers, Managed Kubernetes, web hosting and IT support are offered with a term of 1, 3, 6, 12, 24 or 36 months. E-commerce and web development services are offered with a term of 12, 24 or 36 months; for these the minimum term is twelve months. Licences are offered with a term of one to five years. Billing is monthly or every three months. The selection on the respective package or product page is decisive; the term is shown before the order is completed.

Subscriptions renew automatically for the selected period unless cancelled in time. Cancellations can be made in the customer account or in text form. Notice periods depend on the respective product.

11. Right of withdrawal

Consumers have a statutory right of withdrawal. For details see the withdrawal policy. For digital content, the right of withdrawal expires once the provider has begun performance after the consumer has expressly consented and has confirmed their knowledge that, by consenting to the beginning of performance, they lose their right of withdrawal. Performance begins with the transmission of the licence key.

12. Availability and support

The provider strives for high availability. Maintenance is performed outside normal business hours where possible. Support scope and response times depend on the booked package.

13. Liability

Liability is unlimited for intent and gross negligence and under the German Product Liability Act. For slight negligence, liability is limited to foreseeable, typical damages caused by breach of essential contractual duties. Otherwise liability is excluded.

14. Final provisions

Applicable law. Contracts with consumers habitually resident in Germany and with business customers are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions of the state in which the consumer is habitually resident remain unaffected.

Consumers resident in Switzerland. For consumers habitually resident in Switzerland, the mandatory provisions of Swiss law apply, in particular Art. 120 of the Swiss Federal Act on Private International Law (PILA). Jurisdiction is governed by Art. 114 PILA and Art. 15 of the Lugano Convention. As a consumer you may therefore bring proceedings either at your place of residence in Switzerland or at the provider's registered office. These rights are mandatory and are not restricted by these Terms.

Business customers established in Switzerland. Towards business customers established in Switzerland, German law applies; the place of jurisdiction is the provider's registered office where legally permissible. Art. 116 PILA permits this choice of law.

Severability. Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by the statutory rule.
